  2. Acceptance of Terms
By engaging the investment advisory services of Retire Pittsburgh Management LLC (“we,” “us,” “our,” or the “Firm”), you (“Client”) agree to be legally bound by the terms set forth in this Terms of Service agreement, as well as any Investment Advisory Agreement executed between the parties.
  • Investment advice on various securities (e.g., stocks, ETFs, bonds, mutual funds, structured products)
  • Asset allocation and rebalancing
  • Ongoing account monitoring and performance evaluation
  • Selection and oversight of sub-advisers, when applicable
We do not manage wrap fee programs and do not accept performance-based fees.

3. Fees and Billing

    • We charge an advisory fee for service and can range from 0-1.7% annually.
    • Sub-adviser fees are separate, and not to exceed 0.30% annually.
    • Fees are deducted from your designated custodial account, subject to your prior authorization.
Clients are responsible for reviewing their custodial statements for accuracy and completeness. Fees are negotiable and may vary by advisor or client circumstances.

    4. Account Custody
Assets are held by a third-party qualified custodian (primarily Charles Schwab & Co., Inc.). While we do not hold custody of client assets, we may be deemed to have custody if:

      • We are authorized to deduct fees
      • You provide us with standing letters of authorization to transfer assets to a third party

      5. Fiduciary Duty
As a registered investment adviser, we are fiduciaries under both the Investment Advisers Act of 1940 and ERISA, where applicable. We are legally and ethically bound to act in your best interests and disclose any material conflicts of interest.

      6. Conflicts of Interest
Some of our personnel (including Shane Galino and Kenneth Sullivan) are also licensed insurance agents with a related agency (Retire Pittsburgh LLC). They may earn commissions from the sale of insurance products. These activities present a conflict of interest, which we address through disclosure and adherence to our fiduciary duty.

Clients are not obligated to purchase insurance or any commission-based products through
      our affiliated entities.

      7. Risk Disclosure
Investing involves risks, including but not limited to:

        • Market volatility
        • Loss of principal
        • Interest rate and credit risks
        • Sector concentration and liquidity risks
        • Cybersecurity and pandemic-related risks
Certain products, such as structured notes, inverse ETFs, and annuities, carry additional and specific risks. Clients must understand these risks before investing.

        8. Termination of Services
Either party may terminate the investment advisory agreement at any time. Fees will be prorated through the date of termination. Prepaid fees for future services will be refunded accordingly.

        9. Voting of Proxies
We do not vote proxies on your behalf. Clients will receive proxy materials directly from the account custodian.

        10. Privacy Policy
We are committed to protecting your personal information. We collect non-public personal information only as necessary and do not share it outside our firm except as permitted by law. We maintain physical, electronic, and procedural safeguards in compliance with federal standards.

        11. Dispute Resolution
In the event of any dispute arising from these Terms or the services provided, both parties agree to attempt resolution through good-faith negotiation. If a resolution cannot be reached, the dispute shall be subject to the terms set forth in the client’s signed Investment Advisory Agreement.

        12. Amendments
We reserve the right to amend this Terms of Service from time to time. Any changes will be communicated to clients as required by law.
